By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
Perfice Planning is an AI-powered financial planning and analysis (FP&A) platform that enables users to upload financial data, create budgets and forecasts, perform variance analysis, and receive AI-generated insights. The Service is intended for business use by professionals with budget responsibility.
3. Account Registration
You must create an account to use the Service. You agree to provide accurate and complete information, maintain the security of your credentials, and promptly notify us of any unauthorized access. You are responsible for all activity under your account.
4. Subscription and Payment
The Service is offered on a subscription basis. By subscribing to a paid plan, you agree to pay the applicable fees as described at the time of purchase. Fees are billed in advance on a monthly basis and are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice.
5. Your Data
Ownership. You retain all rights to the data you upload to the Service ("Your Data"). We do not claim ownership of Your Data.
License. You grant us a limited license to process, store, and display Your Data solely to provide and improve the Service. This includes sending Your Data to AI/LLM providers for analysis as described in our Privacy Policy.
Responsibility. You are responsible for the accuracy and legality of Your Data. You represent that you have all necessary rights to upload and process the data you provide.
Export and Deletion. You may export or delete Your Data at any time through the Service. Upon account termination, we will delete Your Data within 30 days, except as required by law.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to the Service or its related systems
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to store or transmit malicious code
- Interfere with or disrupt the integrity or performance of the Service
- Resell, sublicense, or redistribute the Service without our written consent
- Use automated means to access the Service beyond what we provide (e.g., scraping)
7. Intellectual Property
The Service, including its design, features, code, AI system prompts, algorithms, and documentation, is owned by Perfice Solutions and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features.
8. AI-Generated Content
The Service uses artificial intelligence to generate financial insights, analyses, and recommendations. You acknowledge that:
- AI-generated outputs are for informational purposes only and do not constitute financial, legal, or tax advice
- You are responsible for reviewing and validating all AI-generated content before relying on it
- AI outputs may contain errors or inaccuracies; we do not guarantee their completeness or correctness
- You should consult qualified professionals for financial, legal, or tax decisions
9. Third-Party Services
The Service integrates with third-party services including cloud infrastructure providers, authentication providers (Google, Microsoft), and AI/LLM providers. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party service availability or practices.
10. Confidentiality
We treat Your Data as confidential and will not disclose it to third parties except as described in our Privacy Policy or as required by law. If you use our hybrid hosting option, your financial data remains within infrastructure you control.
11. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will provide reasonable notice of planned downtime when possible.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERFICE SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
14. Indemnification
You agree to indemnify and hold harmless Perfice Solutions from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
15. Termination
You may terminate your account at any time through the Service or by contacting us. We may suspend or terminate your access if you violate these Terms or if required by law. Upon termination, your right to use the Service ceases, and we will delete Your Data in accordance with our Privacy Policy.
16. Governing Law
These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Hudson County, New Jersey.
17. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
18. General Provisions
These Terms constitute the entire agreement between you and Perfice Solutions regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right does not waive that right. You may not assign these Terms without our consent.
